1. Definitions

The Africa Analyst (the "Service") is a primarily on-line service operated by Destiny Digital Consulting LLC, registered at 2803 Philadelphia Pike, Suite B #251, Claymont, DE 19703-2506, USA (the “Company”) – admin [at] theafricaanalyst.com, consisting of services and content provided by the Company, affiliates of the Company and other third parties. "Subscriber" means each person who establishes or accesses a connection ("Account") for access to the use of the Service.

2. Copyright

The contents of the Service and theafricaanalyst.com website are protected by applicable copyright laws. No text, graphics, video, audio, software code, or user interface design or logos may be copied, distributed, modified, uploaded, transmitted, posted, framed or distributed in any way without prior written permission of the Company, except that Subscribers may download, display, or print one copy of the materials contained on the Service for personal, non-commercial, home use, provided that Subscriber keeps intact all copyright, trademark, and other proprietary notices. Modification of the materials or use of the materials for any other purpose is an infringement of the Company's, its affiliates' or its third-party information providers' copyrights and other proprietary rights.

4. License and Website Access

We grant you a limited, revocable license to access and make personal use of the website as our customer.

On registration, you must provide The Africa Analyst with accurate, complete registration information and it is your responsibility to update and maintain changes to that information on the applicable theafricaanalyst.com registration or subscription pages. The Africa Analyst is entitled to rely on any information you provide to us.

Each registration is for a single user only. On registration, you will choose a password, and your user name will be your e-mail address.

You are not permitted to:

  • Share your password or give access to THE AFRICA ANALYST Content through your password to anyone else. THE AFRICA ANALYST does not allow multiple users on a network or within an organization to use the same password.
  • Create additional registration or subscription accounts for the benefit of others or with the aim of avoiding our use of password's to control access to and use of theafricaanalyst.com.
  • Reproduce, duplicate, copy, sell or otherwise exploit the website or any product image, product listing, product description, price, page layout, page design, trade dress, trademark, logo or other content ("Website Content") for any commercial purpose, except as expressly provided;
  • Use a robot, spider or data mining or extraction tool or process to monitor, extract or copy Website Content (except in the operation or use of internet "search engines," hit counters or similar technology);
  • Use any meta tags, search terms, key terms, or the like that contain the website's name or trademarks used on the website;
  • Engage in any activity that interferes with the website or another user's ability to use the website;
  • Modify, create derivative works from, reverse engineer, decompile or disassemble any technology used to provide the website and the services offered on the website;
  • Or assist or encourage any third party in engaging in any activity prohibited by these Terms of Use.
  • Any use of the website or Website Content that is not expressly authorized herein is prohibited and immediately terminates the license granted herein. THE AFRICA ANALYST may cancel or suspend your access to theafricaanalyst.com without further obligation to you.

5. Personal Subscription Services

5.1. Types of subscription: unless you purchase a subscription to use theafricaanalyst.com then your usage rights will be limited. We offer various types of subscription: the options currently available are set out at www.theafricaanalyst.com/subscribe.

THE AFRICA ANALYST reserves the right to vary the amount of content and types of service that it makes available to different categories of user. If you are an theafricaanalyst.com subscriber, any reduction in the scope of your subscription will take effect only after we have given you at least 30 days’ notice, and will apply from the date of your next payment following that 30-day period.

5.2. Contract formation: THE AFRICA ANALYST will try to process your subscription promptly but does not guarantee that your subscription will be activated by any specified time. By submitting your payment and other subscription details, you are making an offer to us to buy a subscription. Your offer will only be accepted by us and a contract formed when we have successfully verified your payment details and email address, at which point we will provide you with access to your subscription. THE AFRICA ANALYST reserves the right to reject any offer in its discretion, for any or no reason.

5.3. Payment details: when you purchase a subscription, you must provide us with complete and accurate payment information. By submitting payment details you promise that you are entitled to purchase a subscription using those payment details. If we do not receive payment authorization or any authorization is subsequently cancelled, we may immediately terminate or suspend your access to your subscription. In suspicious circumstances we may contact the issuing bank/payment provider and/or law enforcement authorities or other appropriate third parties. If you are entitled to a refund under these terms and conditions we will credit that refund to the card or other payment method you used to submit payment, unless it has expired in which case we will contact you.

5.4. Pricing: the subscription price will be made clear to you on our sign-up pages or otherwise during the sign-up process and may vary from time to time or by country. You agree to pay the fees at the rates notified to you at the time you purchase your subscription. For certain subscriptions you can take out either an annual or monthly (or other frequency we offer) subscription. Other subscription services may only require a one-off payment. You can also take out any other fixed term or payment frequency that we may offer from time to time. The currency in which your subscription is payable will be specified during the order process, depending on the service and your country of residence. Eligibility for any discounts is ascertained at the time you subscribe and cannot be changed during the term of your subscription. We will always tell you in advance of any increase in the price of your subscription and offer you an opportunity to cancel it if you do not wish to pay the new price.

5.5. Trial subscriptions: where we provide a trial subscription, we will inform you of the full subscription price that is payable after the trial period. After the trial, your subscription will renew automatically at the full subscription price unless you cancel your subscription before the end of the trial.

Please note that no more than one trial subscription per subscriber is allowed in any six month period. We reserve the right to cancel any trial subscription immediately, without refund, if we become aware that the subscriber has already had another trial subscription in the previous twelve months.

5.6 Taxes: Destiny Digital Consulting LLC is registered for the applicable taxes in Delaware, USA. Unless otherwise indicated, prices stated on our website are exclusive of any applicable value added tax (VAT) or other sales taxes. The breakdown of any applicable VAT or other taxes payable with your order is indicated on the invoice you will receive with your purchase.

6. Renewal and Cancellation of Personal Subscriptions

6.1. Renewals: your subscription will continue until you tell us that you no longer wish to receive it, in which case you will stop paying the periodic fees.

6.2. Cancellation by Subscriber: you may cancel your subscription at any time. However, by placing your order you agree that the Company may start your subscription immediately upon accepting your order. This means that you are not entitled to a refund if you change your mind after we have provided you with access to your subscription. The cancellation will take effect at the end of your then current subscription period.

6.3. Cancellation by THE AFRICA ANALYST: The Company may terminate Subscriber's use of the Service at any time without prejudice to any rights or obligations accruing prior to termination.

7. Website Privacy Policy

This privacy policy sets out how THE AFRICA ANALYST uses and protects any information that you give THE AFRICA ANALYST when you use this website. THE AFRICA ANALYST endeavors to ensure, that your privacy is protected. Should we ask you to provide certain information by which you can be identified when using this website, then you can be assured that it will only be used in accordance with this privacy statement. THE AFRICA ANALYST may change this policy from time to time by updating this page. You should check this page from time to time to ensure that you are happy with any changes.

8. Collection, Use and Disclosure of Your Personal Information

THE AFRICA ANALYST's free subscriptions collect specific demographic criteria as well as your preferences in order to provide the information you would like to receive from THE AFRICA ANALYST including the following:

  • Financial Insight subscriptions

From time to time, we may also use your information to contact you for the following:

  • Latest updates and promotions on products and services from THE AFRICA ANALYST
  • Information regarding your subscription

African-markets.com accepts display banners from third parties which are placed on the website. These display banners may contain cookies. Cookies received via third party advertising are collected by external parties and therefore AFRICAN MARKETS does not have access or control of this information.

Some advertisers and third parties (including Google and Google AdSense) may utilize technology such as cookies that could collate information such as your IP address, your ISP, information regarding the browser you used to visit theafricaanalyst.com and the sites visited after visiting theafricaanalyst.com. These types of technology are generally used for geotargeting or retargeting purposes. 

10. Permission

African-markets.com users are given the opportunity when they register to opt in to receive information from THE AFRICA ANALYST as well as its affiliates. To reset preferences users should logon to theafricaanalyst.com and modify their profile. Please note that THE AFRICA ANALYST will endeavor to implement such requests within a reasonable timeframe, although for a time users may continue to receive communications based on information released prior to the implementation of the request.

We are committed to endeavor to ensure that your information is secure. In order to prevent unauthorized access or disclosure we have put in place suitable physical, electronic and managerial procedures to safeguard and secure the information we collect online.

Our website may contain links to enable you to visit other websites of interest easily. However, once you have used these links to leave our site, you should note that we do not have any control over that other website. Therefore, we cannot be responsible for the protection and privacy of any information which you provide whilst visiting such sites and such sites are not governed by this privacy statement. You should exercise caution and look at the privacy statement applicable to the website in question. 

13. Controlling your Personal Information

You may choose to restrict the collection or use of your personal information in the following ways: We will not sell, distribute or lease your personal information outside of THE AFRICA ANALYST and its controlled subsidiaries, affiliates and to third parties unless we have your permission or are required by law to do so. We may use your personal information to send you promotional information about third parties which we think you may find interesting if you tell us that you wish this to happen. If you believe that any information we are holding on you is incorrect or incomplete, please write to or email us as soon as possible, at the above address. We will promptly correct any information found to be incorrect. 

14. Content and Monitoring

14.1. Subscribers may post information or other content to the Service where permitted. Subscriber may not post information which is in breach of this Agreement or any applicable laws or regulations (including, without limitation, laws relating to financial services or activities, copyright, trade marks, defamation, data protection, telecommunications (including regulations relating to excessive use, spamming or other abusive activities) or obscene, offensive or illegal content).

14.2. Subscriber acknowledges that the Company does not pre-screen or otherwise monitor content. Company shall, however, have the right (but not the obligation) to monitor the content of the Service, including chat rooms and forums, to determine compliance with this Agreement and any operating rules established by the Service and to satisfy any law, regulation or authorized government request. The Company shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on the Service. Without limiting the foregoing, the Company shall have the right to remove any material that the Company, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable. 

15. Indemnification

Subscriber agrees to indemnify and hold the Company, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content or other material (including computer viruses) submitted or transmitted by Subscriber to the Service, or Subscriber's access/use or inability to access/use the Service, its connection to the Service, its breach of the this Agreement or any applicable laws or regulations, or its violation of any rights of another. 

16. Third Party Content

The Service is a distributor (and not a publisher) of content supplied by third parties and subscribers. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by those third parties, including information providers, subscribers or other users of the Service, are those of the respective author(s) or distributor(s) and not of the Company. The Company neither endorses nor is responsible for the accuracy or reliability of any opinion, advice or statement made on the Service by anyone other than authorized Service employee spokespersons while acting in their official capacities. The Company is not responsible for any infringement of intellectual property rights or breach of any applicable law or regulation, including regulation in relation to financial services or the distribution of financial products, defamation, data protection, telecommunications (including regulations relating to excessive use, spamming or other abusive activities) or obscene, offensive or illegal content). Under no circumstances will the Company be liable for any loss or damage caused by a Subscriber's reliance on information obtained through the Service. It is the responsibility of Subscriber to evaluate the accuracy, completeness or usefulness of any information, opinion, advice or other content available through the Service. Please seek the advice of professionals, as appropriate, regarding the evaluation of any specific information, opinion, advice or other content. Financial information offered on this site is not provided on a real-time basis. theafricaanalyst.com does not guarantee the timeliness, sequence, accuracy, or completeness of the financial information provided on this site.

17. Warranties

17.1. Subscriber agrees that use of the Service is at Subscriber's sole risk. While the Company uses reasonable efforts to provide or procure the supply of timely and accurate information through the Service, neither the Company, its affiliates, nor any of their respective employees, agents, third party content providers, or licensors warrants that the Service will be uninterrupted or error-free; nor do they make any warranty as to the results, materials or information that may be obtained from use of the Service or the right of any party to use or permit any use of any such results, materials or information, nor do they make any warranty as to the accuracy, reliability, quality or suitability or content of any information, material, service, or merchandise provided, procured or imparted through the Service.

17.2. The Service is provided on an "as is" basis without warranties of any kind, either express or implied, including but not limited to warranties relating to quality, fitness for a particular purpose or non-infringement, other than those warranties which are implied by and incapable of exclusion, restriction, or modification under the laws applicable to this agreement. 

18. Liabilities

18.1. To the fullest extent permitted by law, the Company will not be liable to Subscriber for any loss or damage arising out of Subscriber's use of the Service or any material, information or content obtained by or imparted to Subscriber in connection with the Service or Company's breach of contract, tortious act (including negligence), breach of statutory duty or any other act or omission giving rise to any claim against Company whatsoever to the extent that such loss or damage is: 

  1. a direct loss; or
  2. a consequential, special or indirect loss; or
  3. a loss of profits; or
  4. a loss of data or other damage to Subscriber's computer equipment, software or other property; or
  5. a punitive or other award in damages whether or not the Company has been advised of the possibility of such loss or damage.

For the avoidance of doubt, the provisions of Clauses (i) to (v) above shall each be construed as a separate exclusion of liability.

18.2. Notwithstanding the above the Company's liability under to Subscriber in relation to the Service shall, in aggregate, in respect of any claim or series of claims arising in any calendar year, not exceed 500 EUR.

18.3. Nothing in this agreement shall limit the Company's liability for death, personal injury or dishonesty, deceit or fraudulent misrepresentation.

18.4. Prior to the execution of a stock trade, Subscribers are advised to consult with their broker or other financial representative to verify pricing or other information. The Company, its affiliates, information providers, or content partners shall have no liability for investment decisions based upon the information provided. 

19. Miscellaneous

19.1. This Agreement and any operating rules for the Service established by the Company (and made available to the Subscriber via the Service from time to time) constitute the entire agreement of the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter.

19.2. This Agreement shall be construed in accordance with the laws of Delaware, USA, without regard to its conflict of laws rules and the parties hereby submit to the non-exclusive jurisdiction of the courts of Delaware, USA.

19.3. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.

19.4. The section headings used herein are for convenience only and shall not be given any legal import.

19.5. No consent of any third party shall be necessary for the amendment or termination of this Agreement. 

20. Changes to Terms and Conditions

These Terms and Conditions were published on 21 September 2015 and replace with immediate effect the Terms and Conditions previously published on 12 September 2013.
